Terms of Service

These Terms of Service (“Terms”) govern your use of the Scalple software platform and this website, operated by RedDotIndustries SRL, a company registered in Romania (“we”, “us”, “our”).

By accessing this website or using the Scalple software, you agree to these Terms. If you are acting on behalf of a company, you represent that you have authority to bind that company.

Scalple is a self-hosted database access management platform. You deploy and operate it on your own infrastructure. We provide software, documentation, and support — we do not host or operate your database infrastructure.

You may not use Scalple or this website to:

• Violate any applicable law or regulation
• Infringe the intellectual property rights of third parties
• Attempt to reverse-engineer, decompile, or disassemble the software beyond what is permitted by law
• Circumvent license validation or access controls
• Transmit malware or engage in any activity that disrupts our services

All intellectual property in the Scalple software, documentation, and this website is owned by RedDotIndustries SRL or its licensors. Your license to use the software is granted under a separate commercial license agreement.

The software is provided “as is” without warranty of any kind, express or implied, to the maximum extent permitted by applicable law. We do not warrant that the software will be error-free or uninterrupted.

Nothing in these Terms limits or excludes liability that cannot be excluded under applicable Romanian or EU law, including liability for death or personal injury caused by negligence, fraud, or fraudulent misrepresentation.

To the maximum extent permitted by applicable law:

(a) RedDotIndustries SRL shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the software or this website, including loss of profits, loss of data, or business interruption.

(b) RedDotIndustries SRL's total aggregate liability to you for direct damages arising under or in connection with these Terms shall not exceed the greater of: (i) the total licence fees paid by you in the 12 months immediately preceding the event giving rise to liability, or (ii) €500 (five hundred euros).

(c) These limitations apply even if RedDotIndustries SRL has been advised of the possibility of such damages.

These Terms are governed by the laws of Romania. Any disputes arising under these Terms shall be subject to the exclusive jurisdiction of the courts of Romania.

We may update these Terms from time to time. For material changes — changes that affect your rights or obligations — we will provide at least 30 days' notice by email (if we hold your contact details) or by a prominent notice on this website. If you do not accept the material changes, you may terminate your licence in accordance with Section 9a below before the changes take effect. Continued use of the software after the effective date of changes constitutes acceptance.

Licences are annual and paid upfront as stated on the pricing page at the time of purchase.

Cancellation: You may terminate your licence at any time by written notice to alexandru-serban@scalple.com. Termination takes effect at the end of the current annual licence period. Fees paid for the current period are non-refundable unless otherwise agreed in writing or required by applicable law.

Automatic renewal: Unless you give written notice of non-renewal at least 30 days before the end of the current licence period, your licence will automatically renew for a further 12-month period at the then-current list price. We will send a renewal reminder at least 45 days before renewal.

Price changes: We will notify you of any price change for renewal licences at least 45 days in advance. You may decline renewal in accordance with the procedure above.

VAT: All prices are exclusive of VAT. For EU B2B customers with a valid VAT registration number, the reverse charge mechanism applies. For customers in Romania or EU customers without a valid VAT number, applicable VAT will be added at the prevailing rate.
